Concord does not warrant that the Product will operate error free, that all errors will be corrected, that the functions contained in the Product will operate in the combinations selected by you, or that the Product will meet your requirements. Concord's sole obligation and your sole remedy under the foregoing warranties will be, at the election of Concord, to: (1) replace the Product; or (2) use commercially reasonable efforts to repair the affected Product. Export Restrictions: You shall comply with all relevant export laws and regulations of the United States and you shall not allow the Product to be exported, directly or indirectly, in violation of United States law. 11.
Termination: The license for the Product will be terminated if you violate any of the license restrictions stated in Section 2 of this Agreement. Upon any termination, you shall immediately cease use of the Product and certify that the Product has been destroyed. 12. General Provisions: This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the Commonwealth of Massachusetts (excluding its choice of law provisions) and you consent to exclusive jurisdiction and venue in the state or federal courts of the Commonwealth of Massachusetts. If any provision of this Agreement shall be held unenforceable or illegal, the validity of the remaining portions or provisions hereof shall not be affected thereby and such provision shall be changed and interpreted so as to effectuate the intent of the parties. The parties agree that this Agreement is the complete and exclusive statement of their agreement. Concord will not, by lapse of time or inaction, be deemed to waive any breach by you of this Agreement.
